Terms of Use

These Terms of Use (“Agreement”) constitute a comprehensive and legally binding framework intended to govern, define, and control your access to and interaction with the digital properties and web-based functionalities offered by IncState, including, but not limited to, any related websites, tools, resources, content, services, communications, applications, and third-party integrations (collectively referred to herein as the “Platform”). This Agreement supersedes all prior understandings, oral or written, concerning your engagement with IncState and establishes your unconditional and irrevocable consent to adhere to the conditions delineated herein upon any use, whether passive or active, of the Platform, regardless of the manner, timing, or frequency of such use.
By utilizing the Platform, you, as an individual, legal entity, agent, representative, or otherwise authorized user, acknowledge that you have read, understood, and agreed to be bound by this Agreement in its entirety, without modification, and that such acceptance constitutes a legally enforceable electronic signature for purposes of applicable federal and state laws. This acceptance extends to any updates, amendments, or modifications to these Terms, which may be instituted at the sole discretion of IncState and posted publicly without prior notice. Your continued use of the Platform after such modifications shall be interpreted as conclusive and final acceptance of the revised Terms.
The Platform is designed to facilitate a variety of business-related services, including but not limited to entity formation within the United States (e.g., limited liability companies, corporations, partnerships), application assistance for Employer Identification Numbers (EINs), document filings with federal and state authorities, business compliance tracking, registered agent designation, and related administrative services that are ancillary, supplementary, or indirectly associated with such corporate formation activities. However, it must be unequivocally understood that IncState is not a licensed legal, tax, financial, or investment advisory service and does not provide legal representation, tax consultancy, fiduciary counsel, or any form of professional advice under any jurisdiction. All information, materials, communications, content, or documentation provided on or through the Platform are strictly for informational purposes only and do not constitute legal, financial, tax, investment, or other professional advice. You should not construe any content as a substitute for consultation with licensed professionals. IncState expressly disclaims any and all responsibility and liability arising from reliance on such content or any consequences thereof.
Certain services facilitated or promoted through the Platform may, in whole or in part, be executed, administered, or fulfilled by third-party service providers, strategic affiliates, licensed professionals, or other external entities (collectively, “Partners”). These Partners operate independently of IncState and may maintain separate terms of service, policies, or obligations which are beyond the scope and control of IncState. By engaging with any services, you hereby provide full and voluntary authorization to IncState to transmit, share, or otherwise disseminate your submitted data—including, but not limited to, personal identification, contact details, corporate information, and payment credentials—to such Partners solely for the purpose of fulfilling the services requested. You further acknowledge that the performance, quality, availability, or timeliness of Partner-provided services are subject to their independent control, and IncState disclaims all liability for damages, losses, or disruptions arising from such Partner activities, to the fullest extent permissible under applicable law.
All fees associated with services shall be disclosed prior to transaction confirmation and are payable via the payment methods designated by IncState. You agree that once a service has been initiated — which shall be defined solely by IncState’s internal criteria including, but not limited to, assignment of personnel, data transmission, or submission to relevant authorities — any right to cancel, withdraw, or obtain a refund may be restricted or denied entirely, depending on the degree of service rendered and the specific nature of the transaction. Refund requests, if any, must be initiated exclusively through our designated contact page located at https://incstate.com/contact, and responses will be issued at IncState’s sole discretion on a case-by-case basis.
Your usage of the Platform may be monitored, recorded, or analyzed for quality assurance, operational enhancement, or compliance purposes. IncState reserves the right to suspend or terminate your access to the Platform at any time and for any reason, including but not limited to violations of this Agreement, suspected fraudulent activity, misuse of services, failure to remit payment, or conduct deemed detrimental to the reputation, operation, or legal standing of IncState or its Partners.
All intellectual property, including but not limited to text, graphics, logos, slogans, trademarks, service marks, images, designs, icons, audio clips, video clips, software, and other materials provided on or through the Platform, are the exclusive property of IncState or its licensors and are protected by applicable copyright, trademark, and other intellectual property laws. Unauthorized use, reproduction, modification, distribution, or display of such content without prior written permission is strictly prohibited and may result in legal action.
In the event of any dispute, controversy, disagreement, or claim arising directly or indirectly from your use of the Platform, the interpretation of these Terms, or the relationship between you and IncState or any of its Partners — whether sounding in contract, tort, statute, regulation, or any combination thereof — you agree to first seek resolution through informal and amicable communication initiated by submitting an inquiry via our contact form at https://incstate.com/contact. Only if such informal resolution fails to yield a satisfactory outcome within a commercially reasonable period shall you be permitted to initiate formal legal action.
You further and explicitly agree that any such legal proceeding, regardless of form or content, shall be brought exclusively in the state or federal courts located within the State of Wyoming. You hereby irrevocably consent to the jurisdiction and venue of such courts and waive any objection based on inconvenient forum, lack of jurisdiction, or improper venue. The laws of the State of Wyoming shall govern this Agreement without regard to its conflict of law principles.
Should any provision of this Agreement be found unenforceable, invalid, or contrary to public policy, such determination shall not affect the enforceability or validity of the remaining provisions, which shall remain in full force and effect as though the invalid portion were severed herefrom. No waiver or failure by IncState to exercise any right, remedy, or enforcement shall constitute a continuing waiver or estoppel of future claims unless expressly stated in writing by a duly authorized representative.
